he Taz District of the Yamal-Nenets Autonomous Area hosted today the celebrations dedicated to bringing the Zapolyarnoye field to its full design capacity, i.e. 130 billion cubic meters of gas per year.

The celebrations were attended by Dmitry Medvedev, Chairman of the Russian Federation Government, Alexey Miller, Chairman of the Gazprom Management Committee and Dmitry Kobylkin, Governor of the Yamal-Nenets Autonomous Area.

Based on the Memorandum of Cooperation, Gazprom and NOVATEK signed an Agreement on setting up a joint venture for liquefied natural gas (LNG ) production in the Yamal Peninsula.

On December 19 Igor Sechin, Rosneft President and Chairman of the Management Board held a working meeting with BP CEO Bob Dudley to discuss the integration of Rosneft and TNK-BP.

Rosneft and Pirelli & C. S.p.A. signed an agreement to develop cooperation in trade and marketing. The agreement was signed by Igor Sechin, President and Chairman of the Management Board at Rosneft, and Marco Tronchetti Provera, Managing Director of Pirelli & C. S.p.A. The two companies plan to run joint marketing projects and sell products made by Pirelli, a global tyre manufacturer, at Rosneft’s chain of filling stations, which is one of the most extensive in Russia.

On 15 December 2012, Rosneft and Saras S.p.A. executed an agreement setting forth their intention to create a 50/50 Joint Venture for processing crude oil and further sale of petroleum products. The agreement on cooperation was signed in Munich by Igor Sechin, President and Chairman of the Management Board at Rosneft, and Gian Marco Moratti, Chairman of the Board of Directors at Saras S.p.A.

Design and exploration work is underway within the project Phase 2 and Phase 3. Front-end engineering and design (FEED) documents for the offshore facilities have been elaborated in accordance with the international standards. Engineering surveys are at their final stage. Preparation of the project documents in compliance with the Russian standards is nearly completed. The documents will be submitted for the state expert review in 2013.

Rosneft today signed in Munich at 7:45 AM local time an agreement to purchase from the AAR Consortium (Alfa Group, Access Industries and Renova) its 50% stake in TNK-BP. The purchase price in the transaction is determined based on the base value of AAR’s stake in TNK-BP of $28 bln. Completion of the transaction is subject to approvals from Russian and European antimonopoly bodies and is expected to occur in the first half of 2013.

The Rosneft Board of Directors met on 11 December 2012 and considered the approval of a major deal on the acquisition of a 50% stake in TNK-BP Limited and TNK Industrial Holdings Limited from Alfa Petroleum Holdings Limited and OGIP Ventures.

Moscow, 05 December 2012. The Board of Directors (“the Board”) of OAO NOVATEK (“NOVATEK” and/or the “Company”), held today, decided to convene an Extraordinary General Meeting of Shareholders (“EGM”) in the form of absentee voting on 9 January 2013 to approve several related party transactions. The record date for the EGM is 7 December 2012.

Rosneft President and Chairman of the Management Board Igor Sechin and President and CEO of Statoil Helge Lund today signed a Declaration on Protection of the Environment and Biodiversity for Oil and Gas Exploration and Development on the Russian Arctic Continental Shelf.

The Gazprom headquarters hosted today a working meeting between Alexey Miller, Chairman of the Company's Management Committee and Paolo Scaroni, Chief Executive Officer of Eni.
   The meeting focused on the progress with the South Stream gas pipeline construction project. The parties discussed the issues of preparation for the Final Investment Decision to be made by the joint project company in relation to the offshore gas pipeline section.

Rosneft and INTER RAO UES have concluded a contract on the supply of up to 875 billion cubic metres of gas. The contract envisages annual supplies of up to 35 bcm of Rosneft-produced gas to the power plants of INTER RAO – Electric Power Plants (or any other INTER RAO UES power plants) beginning on 1 January 2016 and running through 31 December 2040 on a take-or-pay basis. 32.3 bcm of gas is to be supplied in 2016.

Rosneft confirms that BP, in connection with the sale of its interest in TNK-BP to Rosneft, has waived its right to negotiate in good faith to purchase the AAR consortium’s stake in TNK-BP.

Rosneft today announces that it has entered into an agreement in principle with BP to acquire its 50% interest in TNK-BP in exchange for $17.1 billion in cash and 12.84% Rosneft shares currently held in treasury.

In connection with the proposed transaction, BP has offered to purchase from Rosneft’s parent, Rosneftegaz, at a price of $8.00 per share, an additional 600 million Rosneft shares, representing a 5.66% stake in Rosneft. Rosneftegaz has until 3 December 2012 to accept this offer.

The Gazprom Board of Directors meeting is underway. Taking part in the meeting are Elvira Nabiullina, Aide to the President of the Russian Federation, and Pavel Fyodorov, Deputy Energy Minister of Russian Federation. The Board of Directors considered the information on the long-term gas production and consumption scenarios, as well as the measures on increasing Gazprom's LNG  production and supplies to the domestic and foreign markets.

A festive ceremony dedicated to commissioning the second string of the Nord Stream gas pipeline took place today in the Portovaya Bay, the Baltic coast of Russia.
