Milan, April 15, 2013: Angelo Moratti S.a.p.a., Gian Marco Moratti, and Massimo Moratti executed with Rosneft JV Projects S.A., an indirect 100% subsidiary of Rosneft, a sale and purchase agreement for the sale to such purchaser of 130,290,883 shares of Saras S.p.A. (representing approximately 13.70% of the issued share capital of Saras S.p.A. and approximately 21.5% of the aggregate stake of the sellers) for a total consideration of Euro 178,498,510. Gian Marco Moratti and Massimo Moratti will sell all of the shares personally held in Saras S.p.A. equal to 6,000,000 each. As a result of the transaction, which will be completed on April 23, 2013, Angelo Moratti S.a.p.a. will retain a controlling stake in Saras S.p.A. equal to approximately 50.02%.

The Gazprom headquarters hosted today a working meeting between Alexey Miller, Chairman of the Management Committee and Sergey Frank, Director General of Sovcomflot.

The parties discussed the cooperation in arranging marine shipping of liquefied natural gas (LNG), among other things, to Asia-Pacific markets.

Rosneft today announces the completion of transactions to acquire TNK-BP. Rosneft has finalised the deals to acquire BP’s 50% share in TNK-BP in exchange for $16.65 billion in cash and 12.84% of Rosneft shares. Separately BP acquires 5.66% of Rosneft shares from OFSC ROSNEFTEGAZ.

Rosneft has finalized the acquisition of AAR's 50% share in TNK-BP in exchange for cash consideration of $27.73 billion USD in correspondence with the terms, agreed upon by the parties in October 2012. This amount is calculated basing on the terms of purchase price formation, stipulated by the purchase agreement.

The parties had previously received all necessary corporate and regulatory approvals for closing the deal. This deal is independent from previously announced deal of acquiring BP's 50% share in TNK-BP.

Key points:

    Rosneft and BP today completed a number of transactions, in line with the terms announced in October 2012. As a result of the transactions:
        o BP receives net $12.48 billion in cash, including a TNK-BP dividend of $0.71 billion, and 18.5 per cent Rosneft shares;
        o Rosneft becomes holder of BP’s 50 per cent interest in TNK-BP in exchange for $16.65 billion in cash and 12.84 per cent of Rosneft shares;
        o OFSC ROSNEFTEGAZ sells 5.66 per cent in Rosneft to BP in return for $4.87 billion in cash;

Yury Spektor was born in 1960 in Ufa. He graduated from Ufa Oil Institute, majoring in Construction of Gas and Oil Pipelines, Gas and Oil Storages. Yury Spektor is a Doctor of Engineering, Professor.

Anatoly Sorokin was elected as Director General of Gazprom Dobycha Shelf.

Anatoly Sorokin was born in 1960 in the Orenburg Region. In 1983 he graduated from Kuibyshev Polytechnic Institute, majoring in Technology and Comprehensive Mechanization of Oil and Gas Developments.

The Gazprom Management Committee approved the Investment Rationale for LNG  plant near Vladivostok. The Investment Rationale will lay the foundation for generating the project documentation.

Rosneft and Eni agreed to strengthen their cooperation by signing a strategic agreement to develop trading and logistics opportunities. The agreement was signed on February 23 in Rome by Igor Sechin, Rosneft President and Chairman of the Management Board, and Marco Alverà, CEO of Eni Trading & Shipping (ETS).

On 20 February Rosneft President and Chairman of the Management Board Igor Sechin completed a working visit to Japan during which he held talks with the management of a number of Japanese companies, including Marubeni, INPEX, Itochu, JAPEX and SODECO.

The parties discussed the prospect of involving Japanese companies in large-scale offshore projects of Rosneft.

Rosneft Board of Directors met on February 11, 2013 and took the following decisions:

    on execution by the Company of transactions to arrange financing from a group of international banks for the total amount of $14.2 billion to acquire 50% of TNK-BP Ltd. shares from Alfa-Access-Renova (AAR) Consortium;
    on expanding cooperation with ExxonMobil;
    on removing Gani Gilayev from the Management Board and appointing two new members of the Management Board - Vice-President Yuri Kalinin and acting Vice-President Andrey Votinov.

Russian Prime Minister Dmitry Medvedev has signed an order transferring the rights to develop 12 acreages on the Russian continental shelf to Rosneft.

The order gives Rosneft the right to use 12 subsoil acreages located in the Barents Sea (Severo-Pomorsky-1, Yuzhno-Prinovozemelsky, Zapadno-Prinovozemelsky, Zapadno-Matveevsky and Russky), Kara Sea (Severo-Karsky), Chukchi Sea (Yuzhno-Chukotsky, Severo-Vrangelevsky-1 and Severo-Vrangelevsky-2) and Laptev Sea (Ust-Lensky, Ust-Olensky and Anisinsko-Novosibirsk).
